Changes to e Board of Directors
Guardian Holdings Limited (GHL) wishes to announce e appointment of Mr. Ravi
Tewari as a Director of Guardian Holdings Limited effective January 31, 2014. Mr.
Tewari is currently e Group CEO of GHL, an appointment he assumed on January
1, 2014 following e retirement of Mr. Jeffrey Mack on December 31, 2013. He has
served as a Board Member of e Life, Heal and Pension subsidiaries of Guardian
Group since 2006, and has been appointed to e GHL Board to ll a casual vacancy,
until e Annual Meeting following is appointment, at which time he will be eligible
GHL also announces e resignation of Mr. David Davies as a member of e
Company's Board of Directors wi effect from January 31, 2014 due to personal
circumstances. Mr. Davies served as a Member of e GHL Board for eight (8) years
and also served as a Member of e GHL Audit Committee (from June 25, 2008) and
Risk and Compliance Committee (from January 1, 2011).
In addition to his GHL directorship Mr. Davies also served on e Boards of Life,
Heal and Pension subsidiaries, Guardian Life of e Caribbean Limited and Guardian
Insurance Limited and tendered his resignation effective January 31, 2014 from ese
Boards as well.

familiar with Reinsurance Treaties and Laws.

The successful candidate must have an Associate Degree in Business
Management with a minimum of three (3) years' experience in insur-
ance industry and one (1) year experience in Reinsurance.
