CORPORATE SECRETARY / LEGAL OFFICER
DIVISION: OFFICE OF THE CORPORATE SECRETARY
Reports To: BOARD OF DIRECTORS and administratively to the MANAGING DIRECTOR
The Corporate Secretary/Legal Officer provides Corporate Secretarial services to the Board of Directors of TTPost and
general legal advice to the Corporation, including but not limited to Contract and Corporate Governance. The position
also has managerial responsibilities for assigned department(s).
KEY DUTIES AND RESPONSIBILITIES:
• Provides Corporate Secretarial advice and service to the Board of Directors of TTPost assuring that the Board
meets its obligations in accordance with the Trinidad and Tobago Postal Corporation Act 1999 and other pertinent
laws of Trinidad and Tobago
Prepares for and attends meetings of the Board of Directors, ensuring that all related documents and notices are
prepared and distributed, including minutes of meetings.
Convenes and Records (Minutes) Directors Meetings, Annual Meetings, Extra Ordinary Meetings, Meetings of
Creditors and Special Meetings
Participates and actively contributes to the leadership and strategic direction of TTPost as a member of the Senior
Leads and directs the Corporate Secretarial, Legal and Records Management Teams in execution and achievement
of the Division's strategic and operational goals, objectives and targets outlined in the Corporation's Strategic and
Operational Plans under the direction of the Board of Directors.
Identifies, implements and maintains statutory registers and other Corporation records as required by law and
provides related advice to ensure the Corporation meets its statutory requirements
Responsible for maintenance of Registers of : Shareholders, Charges, Debenture Holders, Board Decisions
Complies with Companies Act on behalf of the Company
Convenes Meetings under the provisions of the Companies Act as requested by Directors, Shareholders and Creditors
Provides advice to the Managing Director, the Board of Directors and the Management Team on all legal matters
Executes any other duties and powers delegated by the Board of Directors
Directs and liaises with external Counsel on behalf of TTPOST as required and assures that the Corporation's
interests are properly represented under the direction of the Board of Directors
Creates, negotiates, manages and updates the Corporation's contracts
Liaises with external entities such as the CPU, UPU and RIC to ensure the Corporation's compliance with the
relevant legislation and regulations under the direction of the Board of Directors,
Regulates, monitors and controls all matters pertaining to the legal management of the Corporation's properties
under the direction of the Board of Directors
Actively participates in key Committees in the Corporation as required
Perform other related duties as may be required by the job function
Bachelor's Degree in Law (LL.B)
Certification from an Institute of Chartered Secretaries and Administrators
Attorney- at- Law with 7 years standing in practice with a minimum of 3 years experience in a similar position
Knowledge of the Laws of Trinidad and Tobago
In depth knowledge of the Trinidad and Tobago Postal Corporation Act No. 1 of 1999
